IPO guide

IPO basics: understanding stock market listings in the Netherlands

Short, factual explanations about IPOs. They do not replace advice, but they help you put news into context.

What is an IPO?

IPO stands for Initial Public Offering. A company offers its shares to the public for the first time and has them traded on a stock exchange. For the company, an IPO is a way to raise fresh capital and gain visibility. For investors, it creates an opportunity to take a stake in the company. The first day of trading is called the first listing.

An IPO does not automatically mean success. Prices can swing sharply after the first listing, and many planned IPOs are delayed or cancelled. That is why it helps to follow public information and to put news into context.

How does an IPO work?

  1. Preparation. The company selects banks and advisers, prepares its financial figures and defines the structure of the offering.
  2. Prospectus. For a public offer, a prospectus is required under certain conditions and is approved by the competent supervisory authority. There are exceptions.
  3. Price range and bookbuilding. The company often names a price range. In bookbuilding, the banks collect buying interest and use it to set the final price.
  4. Subscription period and allocation. During the subscription period, interested investors can subscribe for shares. Shares are then allocated. An allocation is not guaranteed and may be smaller than requested.
  5. First listing. Trading starts on the exchange. The first price can differ significantly from the offer price.
  6. After the IPO. Existing owners are often bound by lock-up periods during which they may not sell shares. The end of such periods can affect the share price.

IPOs in the Netherlands

Euronext Amsterdam is the Netherlands' main stock exchange. Companies seeking a listing there must meet the applicable admission and transparency requirements.

The Dutch Authority for the Financial Markets (AFM) supervises the financial markets. When the Netherlands is the issuer's home member state, the AFM is responsible for approving the prospectus. Our IPO alerts focus on IPOs in the Netherlands and are based on public prospectuses and company announcements.

Key IPO terms

Prospectus
A document with information about the company, the offering and the risks.
Price range
The range within which the offer price is expected to be set.
Bookbuilding
A process in which buying interest is collected to determine the price.
Subscription period
The time during which shares can be subscribed for.
Allocation
The distribution of shares among subscribers. It can be smaller than requested.
First listing
The first trading day of the share on the exchange.
Free float
The share of stock that can be traded freely on the exchange.
Greenshoe (over-allotment option)
An option to allocate additional shares to smooth price swings after the IPO.
Lock-up period
A period in which existing owners may not sell shares.
Offering size
The total value of the shares offered.

Opportunities and risks

New listings can offer opportunities, but they come with particular risks. Young companies often have little data available, pricing is difficult and prices can swing strongly. Investing in securities can lead to the loss of the capital invested. IPO NETHERLANDS does not recommend whether you should subscribe for, buy or sell shares.
